The L2 switch may be configured wrong. Make sure Autonegotiation (not auto speed sense) of Full Duplex and pause frames is enabled. This is not configurable on the 7500, so it has to be configured properly on the L2 switch.

So You mean to say that by default auto neg and pause frames are nabled on brocade and can not be changed.
So If I have a L2 switch which does not support Auto neg or flow control then it won't work ?

All standards compliant gigabit Ethernet (IEEE 802.3ab) switches support these features.

Have you configured the FCIP tunnels? When a tunnel is created, it defaults to a disabled state. You have to configure the VE_Port or VEX_Port. After the appropriate ports are configured, enable the tunnel.
Refer to the "Fabric OS Administrator's Guide", and follow the steps listed under "FCIP tunnel configuration".

VE Ports are congiured and when i connect Brocade back to back, it works without any issues.
It is when i connect o L2 switch it works for few minutes and the brocade switch get disabled.
I have no issues when connect back to back.
